Each transaction is different depending on the commercial agreement reached between the parties, but essentially these can be broken down into: 1. Preliminary documents (heads of terms, exclusivity, and confidentiality agreements) 2. Due diligence 3. Negotiation of key documents (purchase agreement, disclosure letter, ancillaries) 4. Completion
As early as possible. If you are looking for a sale, we can work with you to ensure you and the business are fully prepared for a sale by way of a pre-sale support. We also have great relationships with a number of financial advisors (including corporate finance) and are more than happy to make introductions. We also like to be involved at the early stages of negotiations, including heads of terms, to ensure key terms are agreed at the outset of a transaction and that parties are aligned.
